General Terms and Conditions (GTC) of Jaroona GmbH
1. Scope of Application
These General Terms and Conditions (GTC) apply to all contracts between Jaroona GmbH (hereinafter "Jaroona") and its customers (hereinafter "Customer"), provided that such customers are entrepreneurs within the meaning of Section 1 of the Austrian Commercial Code (UGB). Deviating terms and conditions of the Customer shall only apply if Jaroona has expressly acknowledged them in writing.
2. Conclusion of Contract
Contracts are concluded exclusively by the Customer's written acceptance of the offer. Oral or telephone agreements require written confirmation from Jaroona to be valid.
3. Scope of Services
Jaroona provides project-related software development services in accordance with the respective offer. The content, deadlines, and remuneration of services are specified in the respective individual contract. Changes or extensions to the scope of services require written agreement.
4. Customer's Duty to Cooperate
The Customer shall provide all necessary information, data, documents, and access required for the execution of the project in a timely and complete manner. Delays due to a failure to cooperate shall extend the agreed-upon deadlines accordingly.
5. Remuneration and Payment Terms
Remuneration is based on the respective offer and is understood as net, plus statutory value-added tax. Payments are due within 14 days of the invoice date, without deduction. In the event of late payment, statutory default interest rates for business transactions shall apply.
6. Rights of Use
Unless otherwise agreed, the Customer receives a non-exclusive, spatially and temporally unrestricted right of use for the work results provided within the scope of the project. Transfer to third parties is only permitted with Jaroona's written consent.
7. Confidentiality
Both parties commit to keeping all confidential information – especially business secrets, technical details, source code, customer data, etc. – learned during the cooperation confidential and not to make it accessible to third parties. This obligation remains in effect for a period of three years after the termination of the contractual relationship.
8. Warranty and Liability
Jaroona is liable for defects in accordance with statutory provisions, unless otherwise regulated in the individual contract. Liability for slight negligence is excluded, unless it concerns damages resulting from injury to life, body, or health. No liability is assumed for lost profits, data loss, or indirect damages.
9. Place of Performance, Jurisdiction, and Applicable Law
The place of performance is Jaroona's registered office. The place of jurisdiction is Vienna, Austria. Austrian law applies exclusively, with the exclusion of the UN Convention on Contracts for the International Sale of Goods.
10. Final Provisions
Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. Amendments and supplements to these GTC require written form.
